These Terms of Service (“Terms”) govern your access to and use of the Vitamark™ website, products, batch records, account features, checkout, content, and related services (collectively, the “Site”). “Vitamark™,” “we,” “us,” and “our” refer to Vitamark™. “You,” “buyer,” “customer,” and “user” refer to any person or entity accessing the Site or placing an order.

By accessing the Site, creating an account, submitting information, or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, Refunds & Returns Policy, Research Use Disclaimer, and COA & Testing Policy. If you do not agree, do not access the Site or purchase from Vitamark™.

Research Use Only

Vitamark™ supplies research materials intended exclusively for lawful laboratory research, analytical testing, and research record review. Products sold by Vitamark™ are not drugs, foods, dietary supplements, cosmetics, medical devices, household products, or consumer products.

Products are not intended for human use, animal use, veterinary use, clinical use, diagnostic use, therapeutic use, cosmetic use, agricultural use, or any form of consumption, administration, injection, ingestion, inhalation, topical use, implantation, or bodily introduction.

Nothing on the Site is medical advice, veterinary advice, health advice, dosing advice, treatment guidance, compounding guidance, formulation guidance, or instructions for use in humans or animals.

Buyer Eligibility and Certifications

By using the Site or placing an order, you certify that:

• You are at least 21 years old.
• You are purchasing only for lawful research, analytical, or laboratory purposes.
• You have the knowledge, facilities, equipment, procedures, and safeguards necessary to safely receive, store, handle, and use research materials.
• You will not use any product for human use, animal use, veterinary use, clinical use, diagnostic use, therapeutic use, cosmetic use, food use, supplement use, household use, or any form of bodily introduction.
• You will not resell, relabel, repackage, transfer, distribute, or market any product for consumer use or unauthorized use.
• You are responsible for verifying that purchase, possession, receipt, storage, handling, use, and disposal are lawful in your jurisdiction.

We may require additional verification before accepting or fulfilling an order, including entity type, research-use certification, contact information, age confirmation, or other compliance-related information. We may refuse, cancel, limit, hold, or refund any order if we believe the order, buyer, communication, payment method, shipping destination, or activity is inconsistent with these Terms, our research-use requirements, payment-provider rules, shipping restrictions, or applicable law.

No Resale, Redistribution, or Unauthorized Representation

Products purchased from Vitamark™ are not for resale, redistribution, relabeling, repackaging, transfer to consumers, transfer to unqualified parties, or use in any product intended for humans or animals. No person or entity is authorized to market, sell, advertise, distribute, broker, or represent Vitamark™ products unless expressly authorized in a written agreement signed by Vitamark™.

Order Review and Acceptance

Submitting an order does not guarantee acceptance. All orders are subject to review, verification, inventory availability, payment approval, shipping restrictions, and compliance review. We may accept, decline, cancel, refund, or partially fulfill an order for any lawful reason, including suspected misuse, suspected resale, suspected consumer use, inaccurate information, payment risk, chargeback risk, prohibited destination, product availability, pricing error, website error, or compliance concern.

If we cancel an order before shipment, we will generally refund the amount paid for the unshipped item or items, unless the payment is subject to fraud review, chargeback review, legal hold, or another issue outside our control.

Product Information

Product names, batch records, certificate of analysis information, purity values, images, descriptions, packaging information, and other Site content are provided for identification, traceability, research record review, and general informational purposes only. Product images may be representative and may differ from actual packaging, fill appearance, vial style, label format, cap color, or batch presentation.

We do not represent that any product is sterile, endotoxin-free, pyrogen-free, GMP-manufactured, pharmaceutical grade, medical grade, injectable grade, food grade, cosmetic grade, fit for compounding, fit for clinical use, or fit for human or animal use unless that exact claim is expressly stated in the published batch documentation for that specific lot.

COA and Batch Records

Where available, batch records may include third-party laboratory reports, primary purity values, endotoxin results, test dates, lab names, lot codes, and related product-identification information. COAs and lab reports reflect testing performed on the submitted sample under the testing lab’s methods and conditions. They do not create a warranty of fitness for any particular purpose, do not convert products into drugs or consumer products, and do not authorize human or animal use.

Testing coverage varies by batch and by lab. We do not claim testing that is not present in the published report set for that specific batch.

Buyer Responsibility and Compliance

You are solely responsible for determining whether any product is suitable and lawful for your intended research purpose. You are responsible for complying with all applicable federal, state, local, and international laws, regulations, import/export restrictions, institutional policies, safety standards, storage requirements, handling requirements, disposal requirements, and recordkeeping obligations.

You agree to obtain and review appropriate safety, handling, storage, and disposal information before receiving or using any product. You assume all risk associated with receipt, storage, handling, transfer, use, misuse, loss, disposal, or unauthorized access to products after delivery.

Prohibited Uses

You may not use the Site or any product to:

• Purchase for human or animal consumption, treatment, diagnosis, enhancement, experimentation, self-administration, or veterinary use.
• Market, promote, recommend, or discuss products as drugs, supplements, cosmetics, treatments, cures, therapies, or alternatives to regulated products.
• Request dosing, reconstitution for administration, injection, ingestion, cycle, protocol, patient-use, or animal-use guidance.
• Resell, distribute, relabel, repackage, or transfer products to consumers or unqualified parties.
• Violate any law, regulation, platform policy, payment policy, shipping policy, or third-party right.
• Submit false entity, age, billing, shipping, research-use, or compliance information.
• Interfere with the Site, scrape the Site, misuse batch records, copy our brand, impersonate us, or engage in fraud, abuse, chargeback abuse, or unauthorized access.

Pricing, Payments, Taxes, and Chargebacks

Prices, availability, discounts, and product listings may change without notice. We may correct pricing, inventory, typographical, product, or technical errors at any time, including after an order is submitted.

You agree to provide accurate billing and payment information and authorize the selected payment provider to process the transaction. Payment providers are independent third parties and may apply their own terms, restrictions, compliance rules, fraud checks, holds, or review processes.

You are responsible for any applicable taxes, duties, import charges, carrier fees, address-correction fees, return shipping charges, reshipment charges, and payment-provider fees unless prohibited by law or expressly stated otherwise in writing.

If you initiate a chargeback or payment dispute without first contacting us to resolve a shipping, product, or order issue, we may suspend account access, cancel pending orders, refuse future orders, and provide transaction records, tracking records, checkout certifications, and account activity to the payment provider.

Shipping

Shipping terms, processing expectations, carrier limitations, address requirements, lost-package procedures, and temperature-related limitations are described in our Shipping Policy. Shipping timelines are estimates unless expressly guaranteed in writing. We are not responsible for carrier delays, weather events, incorrect addresses, refused deliveries, theft after delivery, mailbox or package-room issues, customs holds, or events outside our reasonable control.

Refunds, Returns, and Order Problems

Refunds, replacements, cancellations, damaged-shipment claims, wrong-item claims, missing-item claims, and return authorization requirements are described in our Refunds & Returns Policy. Because products are research-use materials with safety, integrity, storage, and chain-of-custody concerns, opened, altered, used, tampered, temperature-abused, improperly stored, or otherwise compromised products are not eligible for return, refund, credit, or replacement except where required by law.

Accounts and Site Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may suspend, limit, or terminate account access if we believe your activity violates these Terms, creates risk, appears fraudulent, suggests prohibited use, or may expose Vitamark™ or others to legal, safety, payment, shipping, or regulatory risk.

Intellectual Property

The Site, brand name, logos, product images, graphics, layouts, copy, batch-record formatting, database structure, product presentation, and other content are owned by or licensed to Vitamark™ and are protected by intellectual property and unfair competition laws. You may not copy, reproduce, scrape, mirror, frame, impersonate, modify, distribute, sell, or commercially exploit any Site content without our written permission.

Authenticity Notice

Vitamark™ sells direct only through the official Vitamark™ website unless we expressly state otherwise in writing. Unauthorized sellers, lookalike websites, impersonators, copied images, copied product listings, and third-party advertisements are not affiliated with Vitamark™. We are not responsible for products, claims, payments, losses, or communications involving unauthorized sellers or third-party impersonators.

Third-Party Links and Services

The Site may link to third-party websites, laboratories, reports, payment providers, shipping carriers, analytics providers, or other services. Third-party services are not controlled by Vitamark™ and may be subject to separate terms and privacy practices. We are not responsible for third-party content, availability, policies, errors, delays, or actions.

Disclaimer of Warranties

To the fullest extent permitted by law, the Site, products, content, batch records, COAs, reports, and services are provided “as is” and “as available,” without warranties of any kind, express or implied. Vitamark™ disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, sterility, regulatory status, suitability, and safety for any particular use.

No statement on the Site, in email, in batch records, on labels, in COAs, in customer communications, or in marketing materials creates a warranty or authorization for any prohibited use.

Limitation of Liability

To the fullest extent permitted by law, Vitamark™ and its owners, officers, employees, contractors, suppliers, service providers, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including loss of profits, loss of data, loss of business, product misuse, research loss, regulatory action, reputational harm, personal injury, property damage, or damages arising from unauthorized use, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim related to the Site, an order, or a product will not exceed the amount you paid to Vitamark™ for the specific product or order giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Vitamark™ and its owners, officers, employees, contractors, suppliers, service providers, and affiliates from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your order, your products, your breach of these Terms, your certifications, your violation of law, your misuse or transfer of products, your research activities, your storage or disposal of products, your resale or redistribution, your infringement of third-party rights, or any human, animal, clinical, diagnostic, therapeutic, cosmetic, agricultural, or unlawful use.

Force Majeure

We are not responsible for delays, failures, or losses caused by events outside our reasonable control, including carrier delays, weather, natural disasters, supply interruptions, laboratory delays, customs actions, regulatory actions, payment-provider holds, cyber incidents, labor disputes, power outages, platform outages, or acts of government.

Governing Law and Disputes

These Terms are governed by the laws applicable to Vitamark™ in the jurisdiction where Vitamark™ is organized or principally operates, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms, the Site, an order, or a product must be brought individually and not as part of a class, consolidated, representative, or collective action, to the fullest extent permitted by law.

Any arbitration, class-action waiver, venue selection, or state-specific dispute clause should be reviewed by licensed counsel before publication.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will show the latest revision date. Continued use of the Site after updates means you accept the revised Terms.
